Terms of Service.

Welcome to GreenTag, a mobile application operated by Vurbane Inc. (“GreenTag”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the GreenTag app and related services. By downloading, installing, or using the app, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the app.

1. Eligibility

You must be at least 18 years old to use GreenTag. By using the app, you represent and warrant that you are of legal age and have the authority to enter into these Terms.

2. Use of the App

Subject to your compliance with these Terms, Vurbane Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download and use GreenTag for personal or internal business use.

You agree not to:

  • Use the app for any unlawful, harmful, or fraudulent purpose

  • Reverse engineer, decompile, or disassemble the app

  • Interfere with the security or performance of the app

  • Upload or share any content that is offensive, misleading, or infringes on third-party rights

3. User Accounts

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate your account if you violate these Terms.

4. AI-Based Features

GreenTag includes features powered by AI tools (e.g., OpenAI APIs) for image analysis, defect detection, and text processing. By using these features, you acknowledge and agree that:

  • Your input data may be processed by third-party AI providers

  • Output may not be 100% accurate and should not be solely relied upon for critical decisions

  • You will not use AI-generated results in a deceptive or harmful manner

5. Intellectual Property

All content and technology within GreenTag—including logos, code, databases, and documentation—are the property of Vurbane Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not use, copy, or modify any content from the app without our prior written consent.

6. User-Generated Content

You may upload photos, text, or other materials via the app. You retain ownership of your content but grant Vurbane Inc. a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and display it for the purpose of operating and improving GreenTag.

You are solely responsible for your content. We reserve the right (but not the obligation) to remove any content we deem inappropriate or in violation of these Terms.

7. Payments and In-App Purchases

Any in-app purchases are processed through the Apple App Store or Google Play Store. Vurbane Inc. does not store payment information directly. All transactions are subject to the applicable platform’s terms and policies.

8. Disclaimer of Warranties

GreenTag is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy or reliability of AI-based outputs

We do not guarantee that the app will be error-free, secure, or continuously available.

9. Limitation of Liability

To the maximum extent permitted by law, Vurbane Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including lost profits, data loss, or business interruption—arising out of or related to your use of GreenTag.

Our total liability under these Terms shall not exceed the amount you paid (if any) for using the app within the 12 months prior to the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Vurbane Inc., its affiliates, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising from your use of the app or your violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to the app at any time, without notice, if we believe you have violated these Terms or applicable law.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any legal action must be brought in the courts of Ontario.

13. Modifications

We may update these Terms from time to time. We will notify users of material changes via the app or through email. Continued use of the app after changes become effective constitutes your acceptance of the revised Terms.
